Job DescriptionUnder the general direction of General Counsel, provide professional legal counsel to internal clients within the organization focusing on Mergers and Acquisition (M&A) and Corporate matters.
Job Responsibilities Essential Duties and Responsibilities:
- Lead (M&A) transactions from a legal perspective, including directing outside counsel; drafting, reviewing and negotiating sale and purchase agreements; leading legal due diligence; preparing approvals;
- Manage corporate governance matters, including acting as assistant corporate secretary and drafting resolutions, consents and board minutes;
- Lead negotiations on customer agreements for major initiatives, including leasing, construction and strategic partnerships;
- Provide general legal support and advice, while consulting with the General Counsel, through timely responses to inquiries and requests. Coordinate agreements with key strategic partners;
- Ensure the organization remains compliant with all state, federal, and industry guidelines. Ensure management understands the potential risks associated with current internal policies and procedures;
- Responsible for identifying and analyzing legal issues, drafting key documents, presenting both verbally and in writing clear and concise recommendations, and encouraging legal compliance;
- Prepare information, develop, administer, and obtain consensus on business strategies to address legal matters;
- Confer with senior executives in operating companies as needed to assist in carrying out business objectives; and
- Other duties as may be assigned by the General Counsel.

Job QualificationsMinimum Education and/or Experience:
- Juris Doctorate with 7+ years’ experience with corporate and M&A matters
- State Bar membership required
Language Skills:
- Must have ability to read, analyze, and interpret the most complex documents and scenarios. Ability to respond effectively to the most sensitive inquiries or complaints. Ability to make effective and persuasive speeches and presentations on controversial or complex topics to top management, public groups, and/or boards of directors.
Additional knowledge and skills:
- Strong communication skills (both writing and verbal), people skills, problem-solving and decision-making skills required. Knowledgeable in all aspects of company matters.
- Must have ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume.
- Must have ability to define problems, collect data, establish facts, and draw valid legal conclusions and apply them to the business issue at hand.
