VivaAerobus is currently searching for an Corporate and Contract Director to be based at the corporate headquarters in Mexico City.


This position is accountable for overseeing all contracts and agreements, preparing, reviewing, and negotiating contracts, and updating existing agreements, within the internal policy’s level of service, as well as providing legal advice to the company and legal team regarding the preparation of any other documents that the company needs to support a transaction. The Legal Director will ensure that the department always operates within the law, and provides advice on marketing material, human resources campaigns, and press releases or other similar releases. The Legal Director shall prepare, review, and provide legal advice in any corporate matters, including restructures, financings, and governance. The Legal Director will ensure that the department always operates within the law, provides advice on legal issues, creates an effective guardian of the organization, and facilitates the development of business strategies. The successful candidate will be able to ensure legal compliance and limit risk exposure.

Business acumen, people advocacy, strategic aptitude, excellent legal criteria and data analytics skills, and excellent stakeholder management are crucial.



Key responsibilities:

  • Oversee all types of contracts and agreements between clients, suppliers, vendors, financial institutions, governmental and non-governmental providers, and customers.
  • Prepare, review, and draft contracts, ensuring accuracy and compliance with legal requirements and internal policies.
  • Negotiate contract terms with internal and external stakeholders, striving to achieve favorable outcomes for all parties involved.
  • Review and update existing contracts, identifying areas for improvement and recommending appropriate modifications when necessary.
  • Collaborate closely with legal and procurement teams to ensure contractual obligations are met and risks are minimized.
  • Stay updated with industry best practices, regulatory changes, and market trends to enhance contract management strategies.
  • Oversee the company’s corporate governance compliance, including corporate bookkeeping, corporate registry, foreign investment compliance, and the logging of Board and Committees’ minutes, among others.
  • Prepare, review, and draft a broad range of corporate documents, including joint venture agreements, shareholders' agreements, corporate financing agreements, and trusts.
  • Advise on corporate restructures and the organization of entities in foreign countries, such as SPVs and SPCs.
  • Oversee the renewal of the intellectual property of the Company (marks, trademarks, names, designs, etc.) in Mexico and other countries.
  • Consistently interpret and apply the Company’s policies.
  • Manage relationships with external counsel to ensure their advice is timely, relevant, and aligns with the company’s strategic objectives.
  • Collaborate closely with compliance and other legal departments on the team.
  • Deal with external parties (regulators, external advisors, politicians, customers).
  • Attract, develop, manage, motivate, and drive team performance.
  • Deal with complex and significant issues spanning legal and related areas.
  • Stay up-to-date with all legislative changes.


· Ideal experience / qualifications:

  • Proved experience in similar positions in diverse industries, Airline experience will be a plus.
  • 8+ years of Legal experience in a business-facing role or an Executive or directive position in legal or a legal firm.
  • Strong employee relations experience.
  • Complex corporate restructures and financings, at a national law firm or in-house position.
  • Cross-border matters
  • Making presentations to senior-level stakeholders
  • Working with cross-functional teams.
  • English : Advanced proficiency required
