We are looking for a Corporate Counsel to join our legal team in Malta. This is an exciting opportunity to join one of Europe's fastest growing companies.
Your Responsibilities
- Provide general legal advice and support to the business in various areas, including corporate, commercial, aviation, amongst others;
- Assist the company secretary of the Maltese entities and help oversee the corporate legal affairs for select entities in multiple jurisdictions. This will also include arranging board and shareholder meetings, preparing agenda, taking minutes, and drafting resolutions;
- Assist on corporate governance issues, including entity formation, shareholder agreements, corporate restructuring, and compliance with corporate laws and regulations.
- Establish new corporate entities in various jurisdictions in compliance with local laws, which shall include preparation of all constitutional documentation and assisting our tax team with any required tax registrations for the newly incorporated entities and ongoing matters;
- Respond to public and private KYC, audit and other due diligence requests;
- Assist with certain administrative tasks in relation to the legal team;
- Prepare intercompany agreements in close cooperation with the finance / accounting team, i.e., inter-co loans, service level agreements and other agreements are required;
- Support major financial initiatives, including the industry's largest unsecured bond, financing of VistaJet's multi-billion dollar fleet, and any potential M&A transactions;
- Serve as a key stakeholder for inter-departmental and inter-company projects;
- Support the wider Vista legal team, including our US-based colleagues, with projects touching on a variety of legal and business matters;
- Assist in maintaining internal legal resources, filings systems, and databases.
Required Skills, Qualifications, and Experience
- Qualified lawyer, preferably with a warrant to practice in Malta;
- 1-3 years professional experience in corporate legal work;
- Meticulous attention to detail, ensuring accuracy and precision in legal documents and advice;
- Demonstrated ability to drive projects and manage outcomes, even on short notice;
- Experience working with US teams and US-registered entities is a strong plus;
- Willing to take on different - including unfamiliar - projects and seek new opportunities;
- Excellent written and verbal communication skills in the English language, with the ability to convey complex legal concepts to non-legal professionals effectively;
- Strong analytical and problem-solving skills, with the ability to conduct legal research, analyze information, and provide practical solutions;
- High ethical standards and professional integrity in dealing with sensitive and confidential information and dependability with a strong sense of urgency.
